Welcome to ML&L Solutions Inc. ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ML&L Solutions Inc., concerning your access to and use of the website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and our services (including IT Services, Tutoring, and Upskilling Programs).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND OUR SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

1. Interpretation and Definitions

For the purposes of these Terms and Conditions:

  • Service refers to the specific service provided by ML&L Solutions Inc., including but not limited to software development, consulting, tutoring, and student upskilling programs.
  • User (or "You") means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
  • Content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Republic of South Africa, foreign jurisdictions, and international conventions.

You are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.

3. User Representations

By using the Site and our Services, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update such registration information as necessary.
  • You have the legal capacity and you agree to comply with these Terms.
  • You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site.
  • You will not use the Site for any illegal or unauthorized purpose.

4. Specific Terms for Services

4.1 IT & Development Services

All project specifications, timelines, and deliverables will be agreed upon in a separate Service Level Agreement (SLA) or contract. Intellectual property rights for custom software will be transferred to the client only upon full payment of all fees. We reserve the right to suspend services immediately for non-payment.

4.2 Tutoring Services

Scheduling is subject to availability. Cancellations must be made at least 24 hours in advance. Failure to do so will result in the forfeiture of the session fee. We do not guarantee specific academic results, as student performance depends on individual effort and external factors.

4.3 Upskilling Program

Admission to the program is at the sole discretion of ML&L Solutions Inc. Participants must adhere to our Code of Conduct. We reserve the right to terminate participation for any student who disrupts the learning environment or fails to meet attendance requirements.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will ML&L Solutions Inc., its affiliates, directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Site, breach of these Terms, or any breach of your representations and warranties set forth in these Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of the Republic of South Africa. ML&L Solutions Inc. and yourself irrevocably consent that the courts of South Africa shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or Services.
